PARCEL & LOGISTICS SERVICES AGREEMENT

PREAMBLE

This Parcel & Logistics Services Agreement (“Agreement”) governs the provision of parcel collection, transportation, delivery and related logistics services facilitated through the Kopana Platform.

It establishes the respective rights and obligations of Kopana, Customers, Driver Partners and authorised recipients while promoting safe, secure and reliable logistics services.

Kopana provides a technology platform that coordinates logistics services and establishes operational standards for participating parties.

CHAPTER 1

Scope

This Agreement applies to:

  • Same-day parcel delivery;
  • Scheduled parcel delivery;
  • Express courier services;
  • Business-to-business logistics;
  • Business-to-consumer deliveries;
  • Consumer-to-consumer deliveries;
  • Document delivery;
  • Retail fulfilment;
  • Future logistics services introduced by Kopana.

CHAPTER 2

Definitions

For purposes of this Agreement:

Parcel means any approved goods accepted for transportation through the Platform.

Sender means the Customer initiating the delivery.

Recipient means the intended recipient.

Driver Partner means the approved logistics partner performing collection or delivery.

Chain of Custody means the documented transfer of responsibility for a Parcel from collection until delivery.

Proof of Delivery (POD) means the electronic or physical confirmation that delivery has been completed.

CHAPTER 3

Eligibility of Parcels

Only lawful Parcels that comply with this Agreement may be transported.

The Sender warrants that each Parcel:

  • belongs to them or they are authorised to send it;
  • is lawfully possessed;
  • is accurately described;
  • complies with applicable laws;
  • is packaged appropriately.

CHAPTER 4

Prohibited Goods

The following may not be transported unless expressly authorised under a separate written programme and all applicable legal requirements are met:

  • Illegal drugs or controlled substances.
  • Firearms, ammunition and regulated weapons.
  • Explosives and fireworks.
  • Hazardous chemicals requiring specialised transport.
  • Radioactive materials.
  • Counterfeit goods.
  • Stolen property.
  • Human remains.
  • Live animals, except under approved specialist services.
  • Dangerous goods prohibited by law.
  • Items intended to facilitate criminal activity.

Additional restricted categories, such as alcohol, prescription medicines or high-value goods, may be accepted only where Kopana introduces dedicated services with appropriate operational controls and legal compliance.

CHAPTER 5

Packaging Standards

The Sender shall ensure that every Parcel is:

  • securely packaged;
  • appropriate for transportation;
  • protected against ordinary handling risks;
  • correctly labelled;
  • free from leakage or contamination.

Failure to package goods appropriately may affect liability where inadequate packaging materially contributes to damage.

CHAPTER 6

Collection

The Sender shall:

  • make the Parcel available at the agreed collection point;
  • ensure accurate collection information;
  • provide any required verification codes or documentation;
  • disclose handling requirements that are reasonably necessary for safe transport.

Driver Partners may decline collection where a Parcel appears unsafe, unlawful or materially inconsistent with the information supplied.

CHAPTER 7

Chain of Custody

Kopana shall maintain an electronic Chain of Custody record where reasonably practicable.

This record may include:

  • collection time;
  • Driver identification;
  • GPS location;
  • transfers between authorised personnel;
  • delivery confirmation;
  • exception reports.

The Chain of Custody supports operational integrity and dispute resolution.

CHAPTER 8

Transport Standards

Driver Partners shall:

  • exercise reasonable care during transport;
  • comply with road traffic legislation;
  • protect Parcels from avoidable damage;
  • follow handling instructions that have been accepted through the Platform;
  • report incidents promptly.

CHAPTER 9

Delivery

Delivery shall ordinarily be completed by:

  • recipient signature;
  • electronic signature;
  • one-time verification code;
  • biometric confirmation where implemented;
  • photographic confirmation where appropriate;
  • other approved delivery verification methods.

Where delivery cannot reasonably be completed, the Driver Partner shall follow the Platform’s failed delivery procedures.

CHAPTER 10

Failed Deliveries

Delivery may be unsuccessful where:

  • the Recipient is unavailable;
  • incorrect delivery information is provided;
  • access is denied;
  • the Recipient refuses delivery;
  • conditions make delivery unsafe.

Where reasonably practicable, Kopana will facilitate rescheduling, return to sender or other appropriate arrangements in accordance with the selected service level.

CHAPTER 11

Delivery Timeframes

Estimated delivery times are provided for planning purposes and are not guarantees unless a specific premium service expressly provides a guaranteed delivery window.

Delivery times may be affected by:

  • traffic conditions;
  • weather;
  • road closures;
  • security incidents;
  • force majeure events;
  • regulatory restrictions.

Kopana will use reasonable efforts to meet communicated service levels.

CHAPTER 12

Proof of Delivery

Proof of Delivery records may include:

  • electronic signatures;
  • photographs;
  • GPS coordinates;
  • timestamps;
  • recipient verification codes;
  • recipient name;
  • delivery notes.

These records may be relied upon for operational, audit and dispute resolution purposes.

CHAPTER 13

Loss & Damage

If a Parcel is reported lost or damaged, Kopana will coordinate an investigation involving the relevant Driver Partner and available operational records.

The investigation may consider:

  • Chain of Custody records;
  • Proof of Delivery;
  • GPS data;
  • photographs;
  • packaging condition;
  • statements from the parties involved.

Where responsibility is established, remedies will be determined in accordance with this Agreement, any declared value, applicable insurance arrangements and mandatory legal requirements.

CHAPTER 14

Declared Value

For eligible services, the Sender may declare the value of a Parcel before collection.

Where a declared value option is offered:

  • the declared value must be accurate and supported by reasonable evidence if requested;
  • any applicable additional charges for enhanced cover will be disclosed before confirmation;
  • compensation limits and exclusions will be set out in the relevant service schedule.

Failure to declare a value where the option is available may limit the remedies available under the selected service.

CHAPTER 15

Insurance

Certain logistics services may include or offer optional transit cover, subject to separate policy terms and conditions.

Kopana will clearly disclose:

  • whether cover is included;
  • the extent of cover;
  • exclusions;
  • claims procedures;
  • documentation requirements.

Nothing in this Agreement creates insurance cover unless expressly stated.

CHAPTER 16

Claims Procedure

Claims for loss, damage or shortage should be submitted within the period specified in the applicable service schedule.

Claims should include, where relevant:

  • proof of collection;
  • proof of value;
  • photographs;
  • description of the loss or damage;
  • supporting documentation reasonably required to assess the claim.

Kopana will acknowledge claims, investigate them objectively and communicate the outcome with reasons.

CHAPTER 17

Dangerous Goods Compliance

Where Kopana introduces approved services for regulated goods, such services shall operate under dedicated operational standards covering:

  • classification;
  • packaging;
  • labelling;
  • driver training;
  • emergency response;
  • regulatory compliance.

Until such services are implemented, regulated dangerous goods remain prohibited.

CHAPTER 18

Enterprise Logistics Services

For business customers, Kopana may provide additional logistics solutions, including:

  • scheduled collections;
  • recurring delivery routes;
  • warehouse integration;
  • inventory collection points;
  • proof-of-delivery reporting;
  • API integration;
  • fleet management support.

These services will be governed by a separate Enterprise Logistics Schedule incorporated into this Agreement where applicable.
